1. Acceptance of Terms

By downloading, installing, or using the NeuroAtlas mobile application ('App'), you ('User', 'you', or 'your') agree to be bound by these Terms and Conditions ('Terms'), our Privacy Policy, and any additional guidelines or policies referenced herein. If you do not agree, you must not use the App.

If you are accessing NeuroAtlas on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

NeuroAtlas is a neuroscience-driven cognitive performance and wellness application designed for high-stakes professionals, including executives, founders, and students. The App provides:

• NeuroLibrary: A curated library of science-backed toolkits and modules for focus, resilience, decision-making, and wellbeing.
• Boardroom Mode: A rapid-access cognitive priming tool designed for use before and after high-pressure professional events.
• Journaling: Guided journal prompts, emotional check-ins, and personal reflections with searchable history.
• Progress Tracking: Streaks, milestone recognition, mood trends, and cognitive performance dashboards.
• Master Classes: Expert-led video content curated for professional development.
• Atlas AI (Phase 2+): An AI-powered coaching experience delivering personalised performance guidance.

The App is delivered in phased releases. Phase 1 represents the core MVP experience. Features described for Phase 2 and Phase 3 are subject to future availability and may require upgraded subscription tiers.

3. Eligibility & Access

3.1 Age Requirement

You must be at least 18 years of age to use NeuroAtlas. By using the App, you represent and warrant that you are 18 or older.

3.2 Beta Access

During the initial beta phase, access to NeuroAtlas is restricted to invited users only. Access is granted via a unique invite code provided by NeuroAtlas or your participating organisation. Unauthorised sharing of invite codes is prohibited and may result in revocation of access.

3.3 Enterprise Access

Employees accessing NeuroAtlas through an employer's enterprise account are subject to both these Terms and the terms of the enterprise agreement between NeuroAtlas and their employer. In the event of a conflict, the enterprise agreement prevails for matters specific to organisational deployment.

4. Account Registration & Security

• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to notify us immediately at support@neuroatlas.com of any unauthorised use of your account.
• You may not share your account with others or create multiple accounts to circumvent access controls.
• We reserve the right to suspend or terminate accounts that are found to be in violation of these Terms.

5. Subscription Plans & Payments

NeuroAtlas may offer free, individual (B2C), and enterprise subscription tiers. The following terms apply to paid subscriptions:

• Pricing: Subscription fees are displayed at the point of purchase within the App or on the NeuroAtlas website and are subject to change with prior notice.
• Billing: Subscriptions are billed on a recurring basis (monthly or annually) via the payment method you provide. Charges are processed through Apple App Store or Google Play Store billing systems, as applicable.
• Free Trials: Where offered, free trials automatically convert to paid subscriptions at the end of the trial period unless cancelled.
• Refunds: Refund eligibility is subject to the refund policies of the applicable app store. We do not issue refunds directly except where required by applicable consumer protection law.
• Enterprise: Pricing and payment terms for enterprise accounts are governed by the separate enterprise agreement.

6. Acceptable Use

You agree to use NeuroAtlas only for its intended purpose of personal cognitive performance and wellness development. You must not:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any portion of the App, its servers, or connected systems.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App.
• Upload, transmit, or share content that is harmful, offensive, defamatory, or violates any third-party rights.
• Use the App to harass, stalk, or intimidate any person.
• Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure.
• Attempt to scrape, crawl, or extract content or data from the App in an automated fashion.
• Use the App to collect personal information about other users without their consent.
• Misrepresent your identity or affiliation when accessing the App through an enterprise account.

7. Intellectual Property

7.1 Our Content

All content within NeuroAtlas — including but not limited to toolkits, audio sessions, video Master Classes, journal prompts, illustrations, branding, trademarks, and software — is the exclusive intellectual property of NeuroAtlas or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use this content solely for your personal, non-commercial use within the App.

You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any NeuroAtlas content without our prior written consent.

7.2 Your Content

Journal entries and other content you create within the App ('User Content') remain your intellectual property. By submitting User Content, you grant NeuroAtlas a limited, non-exclusive, royalty-free licence to process, store, and display your content solely to deliver the App's features to you. We do not use your personal journal entries for marketing or AI training purposes without your explicit consent.

8. Health & Wellness Disclaimer

NeuroAtlas is a wellness and performance support tool. It is NOT a medical device, clinical application, or mental health treatment service.

The techniques, toolkits, and content provided in the App are based on publicly available neuroscience research and are designed for general cognitive performance enhancement. They do not constitute medical advice, diagnosis, or treatment.

You should not use NeuroAtlas as a substitute for professional medical, psychological, or psychiatric advice. If you are experiencing a medical or mental health emergency, please contact emergency services or a qualified healthcare professional immediately.

Use of health data integrations (Apple Health / Google Fit) is for contextual personalisation only and does not constitute clinical monitoring.

9. Third-Party Integrations

The App may support integration with third-party services, including Apple HealthKit, Google Fit, and enterprise identity providers (SSO). These integrations are governed by their respective terms and privacy policies. NeuroAtlas is not responsible for the performance, availability, or data practices of third-party services. Enabling integrations is at your own discretion and risk.

10. Availability & Modifications

We strive to maintain continuous App availability but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue any feature or the App as a whole at any time, with or without notice.
• Update, patch, or roll back the App version remotely.
• Restrict access during maintenance windows or in response to security incidents.

We will provide reasonable advance notice for planned maintenance or material feature changes where practicable.

11. Termination

11.1 By You

You may terminate your account at any time by using the 'Delete Account' feature within the App (Settings > Delete Account) or by contacting support@neuroatlas.com. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

11.2 By NeuroAtlas

We may suspend or terminate your access immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the App or other users. Enterprise accounts may be terminated in accordance with the enterprise agreement.

11.3 Effect of Termination

Upon termination, your licence to use the App and its content is immediately revoked. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) shall survive.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• NeuroAtlas is provided on an 'as is' and 'as available' basis without warranties of any kind, either express or implied.
• We do not warrant that the App will meet your specific requirements, be error-free, or operate without interruption.
• We shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of the App, including but not limited to loss of data, loss of revenue, or harm to reputation.
• Our total aggregate liability for any claim arising out of or related to these Terms or your use of the App shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) £100 / $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless NeuroAtlas, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of [Insert Jurisdiction — e.g., England & Wales / State of Delaware, USA], without regard to its conflict of law provisions.

Any dispute arising under or in connection with these Terms shall first be referred to informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in [Insert Jurisdiction], except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

If you are a consumer in the EU or UK, mandatory statutory rights under local consumer protection law are not affected by these Terms.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes through the App or via email at least 14 days before the changes take effect. Your continued use of the App after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the App and may delete your account.

16. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any enterprise agreement, constitute the entire agreement between you and NeuroAtlas regarding the App.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, cyberattacks, or government actions.
• Language: These Terms are written in English. In the event of any conflict between translated versions and the English version, the English version prevails.
